Terms of Service
Effective date: 1 December 2025
Welcome to Cadence. By using any part of the Cadence product suite, you agree to these Terms of Service. If you do not accept them, discontinue use immediately.

Who Can Use Cadence
To use Cadence, you must:
- Be at least 13 years old
- Be legally able to enter into this agreement
- Not be prohibited from using US-based software under applicable sanctions
- Use Cadence in line with all state and federal laws
What Cadence Provides
Cadence lets you:
- Record audio and generate text from those recordings
- Save, edit, and manage your content (paid users)
- Use our browser extension with or without an account
Features may change or be removed at any time.
We do not guarantee continuous uptime or permanent storage of your content.
Privacy
Your privacy is guided by our Privacy Policy. By using Cadence, you agree to how we collect and handle data as described there.

Free vs Paid Access
Free Users (Extension Only)
- No login required
- All data stays local on your device unless you choose to upload something
- If you connect Google Drive, we only access it when you choose to save a file
Paid Users (Web App + Cloud Features)
Paid plans unlock cloud processing and storage. To use them:
- You must sign in
- You must have a valid subscription
- Cloud features sync across devices
- Google Drive is never required in the paid version
Trial access may be offered to new users. Trials are limited to one per customer.
Creating additional accounts to gain extra trials is not allowed.
Payments, Subscriptions, and Refunds
Payments are handled by Paddle, our authorized reseller and Merchant of Record. Paddle manages:
- Billing
- Payment processing
- Applicable taxes
- Invoices and receipts
Cadence does not store card details.
Free Trials
- Trials give temporary access to premium features
- Trials convert to paid plans automatically unless canceled
- We reserve the right to deny or revoke trial access when misuse is detected
Refunds
Refunds follow this structure:
- If you have not meaningfully used premium features within 14 days, you may request a refund
- Requests outside this window are handled at our discretion
- Subscriptions renew automatically unless canceled
- Cancellation stops future renewals but does not refund the current billing period
You can manage or cancel your subscription in the Paddle customer portal linked in your receipt emails.
Intellectual Property
a. Open Source Licensing
Certain Cadence components may be open source and distributed under their respective licenses. You must comply with those licenses when using or modifying them.
b. Proprietary Elements
The following are owned by Cadence Labs and are not open source:
- The web app
- Server-side code and APIs
- Databases
- Documentation, UI, branding, and marketing assets
c. Trademarks
“Cadence” and associated branding belong to Cadence Labs. You may not use them without permission.
d. Attribution
If you redistribute open-source components, include the proper attribution required by their licenses.
Your Content
You own everything you create inside Cadence.
That means:
- You retain full ownership of your recordings, transcripts, and generated content
- We only access your content when:
- You request support
- You explicitly share it
- We’re required to by US law
- It’s flagged for harmful or illegal use
You are responsible for ensuring you have the right to upload or process the content you submit.
You may not use Cadence for unlawful, abusive, or harmful activity. We may remove content or restrict access if we believe the service is being misused.
Acceptable Use
You agree not to:
- Damage or overload the Cadence systems
- Operate automated or high-volume tasks without permission
- Attempt to access private or backend systems
- Impersonate others
- Harass users or staff
We may suspend or limit usage to protect service integrity.
Account Termination
You can delete your account at any time.
We may suspend or terminate your account if:
- You violate these Terms
- Your subscription cannot be billed
- Your usage is unsafe or unlawful
- We are legally required to do so
We may remove your stored content after account termination.
Copyright & DMCA
If you believe Cadence is hosting content that infringes your rights, contact:
support@usecadence.co
Include:
- Your contact details
- A link to the material
- A statement of good-faith belief that the material is infringing
- A sworn statement that the information is accurate
We respond to valid DMCA notices in line with US law.
Export Controls
You may not use Cadence in countries subject to United States sanctions or restrictions.
You agree not to export or re-export Cadence where prohibited by US export laws.
Business Transfers
If Cadence Labs is acquired or reorganized, our rights and obligations may transfer to the new owner.
You will be notified before any significant changes take effect.
Disclaimers
Cadence is provided “as is”.
We do not guarantee:
- Uninterrupted service
- Permanent data storage
- Freedom from errors
- That Cadence meets your specific needs
You use Cadence at your own risk.
Limitation of Liability
To the fullest extent permitted by US law:
- Cadence is not responsible for indirect or incidental damages
- This includes data loss, loss of profits, or business interruption
- Our total liability is limited to the amount paid in the 12 months before the claim
This does not limit liability where it cannot be limited by law.
Third-Party Links
Cadence may include links to third-party sites.
We are not responsible for their policies, content, or practices.
Data Retention
- Paid user data is kept while your subscription is active, plus 30 days
- Free users store everything locally unless they choose cloud features
- Data is removed from our systems after the retention period unless required by law
Force Majeure
We are not responsible for failure to perform caused by events outside our control, including:
- Hosting outages
- Natural disasters
- War or civil unrest
- Government orders
- Widespread internet disruption
Miscellaneous
- Governing Law
These Terms are governed by the laws of the United States and the State of Delaware. - Dispute Resolution
Before filing a legal claim, you agree to contact us and attempt an informal resolution. - Severability
If any part of these Terms is unenforceable, the rest will still apply. - Entire Agreement
These Terms and our Privacy Policy represent the full agreement between you and Cadence. - Assignment
You may not transfer your rights. We may transfer ours in connection with a merger, acquisition, or sale. - Electronic Communications
By using Cadence, you agree to receive notices electronically.
